These Terms describe the rights and responsibilities that apply when an organisation or its users access the Purchase Order Centre platform.

1. Introduction

These Terms and Conditions (the "Terms") govern access to and use of the Purchase Order Centre platform, websites and related services (the "Service") operated by Purchase Order Centre ("we", "us", "our"). By creating an account, accessing or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent.

2. Definitions

  • "Customer" means the organisation that subscribes to or evaluates the Service.
  • "User" means an individual authorised by the Customer to use the Service.
  • "Customer Data" means data submitted to the Service by Customer or Users.
  • "Subscription" means a paid or trial right to access the Service.

3. Acceptance of Terms

By using the Service you confirm that you have read, understood and agreed to these Terms. If you do not agree, do not use the Service. We may update these Terms from time to time, and continued use after changes constitutes acceptance.

4. Eligibility and Business Use

The Service is intended for use by organisations and authorised individuals acting in a business capacity. You must be legally able to enter into a binding agreement and authorised to bind the organisation you represent.

5. User Accounts and Security

You are responsible for safeguarding account credentials, enabling multi-factor authentication where available, and all activity that occurs under your account. Notify us promptly of any suspected unauthorised access.

6. Free Trial

  • The default free trial period is 14 days from activation.
  • Trial access may be limited in features, users or data volume.
  • Trial access may be modified, limited or withdrawn at our discretion prior to commercial subscription.
  • Trial activation currently requires contacting our team.

7. Subscription Plans and Future Billing

Subscription plans, pricing and limits may change before commercial launch. Paid plans currently require manual activation by our sales team until an online payment provider is configured. Customers will be informed of pricing applicable to their organisation prior to charges being applied.

8. Customer Responsibilities

Customers remain responsible for verifying purchasing, accounting and financial data entered into the Service before operational, financial or regulatory use. Customers are responsible for configuring users, roles, departments, suppliers and approval flows appropriately for their organisation.

9. Acceptable Use Policy

You agree not to: (a) attempt to bypass authentication, access controls or rate limits; (b) upload unlawful, infringing, malicious or harmful content; (c) reverse engineer or interfere with the Service; (d) use the Service to compete with us or to build a competing product; or (e) use the Service in a manner that disrupts other customers.

10. User Generated Content

Customer Data submitted to the Service remains the Customer's property. You grant us a limited, non-exclusive licence to host, process and transmit Customer Data solely to operate, secure and improve the Service.

11. Data Ownership

Customers retain full ownership of their organisational data. We do not sell Customer Data and we do not use Customer Data to train third-party models without explicit consent.

12. Intellectual Property

All right, title and interest in and to the Service, including software, designs, trademarks and documentation, remain the property of Purchase Order Centre and its licensors. No rights are granted other than the limited right to use the Service in accordance with these Terms.

13. Confidentiality

Each party agrees to protect the other party's confidential information with the same care it uses to protect its own confidential information, and not to disclose it except as required to perform under these Terms or by law.

14. Third-Party Services & Integrations

The Service may integrate with third-party services, infrastructure providers or future accounting and payment platforms. We are not responsible for the availability, accuracy, security or terms of third-party services. Use of integrations may be subject to additional terms from those providers.

15. Service Availability

The Service is provided on an "as available" and "as is" basis. We aim for high availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency maintenance or third-party incidents may affect availability.

16. Beta Features & Early Access

Features designated as beta, preview or early access are provided for evaluation, may change without notice, and may be removed at any time. Beta features are excluded from any availability commitments.

17. Support & Maintenance

Support is provided via email at support@purchaseorderhub.com during normal business hours. Response times depend on the Customer's plan and the nature of the request.

18. Limitation of Liability

To the maximum extent permitted by applicable law, our aggregate liability arising out of or in connection with the Service is limited to the fees paid by the Customer for the Service in the 12 months preceding the event giving rise to the claim.

19. Disclaimer of Warranties

Except as expressly stated, the Service is provided without warranties of any kind, whether express, implied or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.

20. Indirect / Consequential Damages Exclusion

To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, goodwill, data or business opportunities.

21. Indemnification

Customer agrees to indemnify and hold harmless Purchase Order Centre against third-party claims arising from Customer's misuse of the Service, breach of these Terms, or unlawful Customer Data.

22. Suspension and Termination

We may suspend or terminate access to the Service for material breach of these Terms, suspected security risk, non-payment or as required by law. Customer may terminate use of the Service at any time.

23. Data Export and Account Closure

Customers may request an export of their organisational data for a reasonable period following termination. After this period, data may be deleted in accordance with our retention principles.

24. Changes to the Service

We may modify, add or remove features as the Service evolves. Material changes that adversely affect Customers will be communicated where reasonably practicable.

25. Changes to Terms

We may revise these Terms from time to time. The "Last updated" date at the top of this page reflects the latest revision. Continued use of the Service after changes become effective constitutes acceptance.

26. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Ireland. The courts of Ireland shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, unless otherwise required by applicable law.
